Bylaw Exerpts Re New FLC Members

New Members

All new members of the Co-operative shall be approved by the FLC Board of Directors, provided that:

  1. All persons wishing to become New Members of the Co-operative shall apply to the Co-operative in writing using the FLC Membership Subscription Form;
  2. No person who receives a common share as a new member shall be younger that the age of 18;
  3. No person shall be entitled to receive more than ONE common share.
  4. Each person to whom a common share is sold as a new member is in at least one of the following categories:
    1. An individual or partnership actively engaged in farming within a membership district (Viterra/AgPro Marketing Center) for commercial purposes; or
    2. A farming corporation actively engaged in farming within a membership district (Viterra/AgPro Marketing Center) for commercial purposes.

Joint Ownership

Joint ownership of a common share is prohibited.

Transfer of Rights

No sale, assignment or transfer of common shares in the Co-operative shall be valid for any purpose.

Non-recognition of Trusts

Subject to the Co-operatives Act, 1996 (Saskatchewan) the Co-operative shall treat the registered owner of a common share as the person exclusively entitled to vote, to receive notices, to receive any dividend or other payments in respect thereof and otherwise to exercise all the rights and powers of an owner of a share as if that person had full capacity and authority to exercise all rights of ownership, irrespective of any indication to the contrary through knowledge or notice or description in the Co-operative’s record or on any certificate issued in respect of common shares.

Certificates Relating to Common Shares of the Co-operative

  • No certificates for common shares of the Co-operative will be issued by the Co-operative.
  • The securities register maintained in accordance with subsection 27(1) of the Co-operative Act, 1996 (Saskatchewan) shall be conclusive evidence of the common shares held by the members of the Co-operative.
  • The Co-operative will, on the request of a member, issue a statement to such member confirming that the member is a holder of a common share of the Co-operative.
